Short

HAPPI — the Human Alliance for People and Planetary Infrastructure. Maslow Holdings Pty Ltd is the current commercial builder and operator: it raises capital, employs and engages the team, develops and operates technology, enters contracts and carries execution risk. HAPPI is the intended enduring stewardship and people's-commons architecture for the relevant shared connective infrastructure and post-cap ownership. The HAPPI Foundation does not yet legally exist. Maslow is constitution-governed and covenant-aligned; HAPPI is intended to be covenant-governed under its own final founding documents.

Extended

At least 178,555 member-owned financial institutions serve at least 508.7 million members and hold at least US$11.30 trillion in assets across 109 countries and jurisdictions. They already possess extraordinary distributed strength, but remain fragmented across jurisdictions, technology systems, vendors and institutional networks. HAPPI is intended to hold that connective infrastructure once it is built — the coordination layer that lets independent institutions operate as one system without giving up local control; the shared rails of payments, lending, savings, credit, liquidity, and shared risk, built once and crossed by all; and the governance covenants intended to take the entire load and hold the span.

Maslow is constitution-governed and covenant-aligned. HAPPI is intended to be covenant-governed. The HAPPI Covenant expresses the intended stewardship architecture and does not directly bind Maslow or override Maslow's Constitution, contracts or applicable law.

The HAPPI Foundation does not yet legally exist. Within 120 days after Offer Completion, Maslow intends to establish it or complete and lodge the required external applications and take all reasonably necessary steps to procure establishment. Its final legal form, governing instruments, steward roles and operating arrangements will be settled through that controlled process.

Following Minimum Target Completion, Maslow intends to assemble an inaugural formation group of approximately 20–30 suitable member-owned financial institutions across multiple jurisdictions. The current planning model tests a balanced 12+12 cohort. The institutions will convene for an intensive week-long residency to define the MVP and its commercial, technical and governance parameters, then complete a 28-day internal decision period. Maslow's gate is at least 10 binding institutional agreements to fund and participate in the MVP build. Formal commercial engagement begins after funding; the proposition has nevertheless been shaped by years of fieldwork and extensive discussions with member-owned institutions. Nothing about HAPPI is finished, and it says so: this is the announcement of a direction, not a destination.

Status
The HAPPI Foundation does not yet legally exist. Within 120 days after Offer Completion, Maslow intends to establish it or complete and lodge the required external applications and take all reasonably necessary steps to procure establishment. What it is intended to hold
Three things intended to be held in common, one span intended to bear the weight of everyone who crosses it: the coordination layer — the shared ability for independent institutions to operate as one system without giving up local control; the shared rails — payments, lending, savings, credit, liquidity, shared risk, built once and crossed by all; and the governance covenants — the binding commitments intended to take the entire load and hold the span.
Relationship to Maslow
Maslow Holdings Pty Ltd is the current commercial builder and operator: it raises capital, employs and engages the team, develops and operates technology, enters contracts and carries execution risk. HAPPI is the intended enduring stewardship and people's-commons architecture for the relevant shared connective infrastructure and post-cap ownership. The HAPPI Foundation does not yet legally exist. Maslow is constitution-governed and covenant-aligned; HAPPI is intended to be covenant-governed under its own final founding documents. Maslow's Constitution establishes a capped-equity architecture. Shares issued under the 2026 Offer carry a stricter 150× contractual cap on the CPI-adjusted amount paid. When a Share Parcel reaches its applicable cap, it transfers for nominal consideration to the existing Customer Trust or another permitted Customers Vehicle. The intended end-state is for the HAPPI Foundation, once legally established and operationally capable, to own or control that post-cap equity directly or through a trust or vehicle it controls. Maslow is intended ultimately to be absorbed into HAPPI's architecture, but no automatic present dissolution or transfer of every Maslow asset or operation is represented. Participating institutions retain their licences, their boards, and their community relationships. HAPPI is not Maslow's charitable arm, and Maslow is not HAPPI's vendor.

"This is the announcement of a direction, not a destination. The HAPPI Foundation does not yet legally exist; its establishment is intended following Offer Completion. The inaugural formation group of institutions will be assembled following Minimum Target Completion. The covenants will be finished with the stewards who arrive to hold them — shaped in consultation, not handed down. Nothing here is complete, and that is the point: infrastructure held in common begins in common, before the certainty, not after it.

The mark 04

A murmuration, held still.

The HAPPI mark is a murmuration — a slice of the flock, twenty dots settling into a single ascending arc. No two are evenly spaced. Each sits by a local rule, yet together they resolve into one coherent curve: emergent order, the shape of a self-organising coalition. It is the structural claim of HAPPI drawn as a figure — many independent actors, no centre, producing a pattern none could hold alone.

One dot, at the leading edge, is gold. It is the lead bird of the moment — one contributor within a larger pattern, marked but not above it. The flock has no permanent centre; the gold simply names where coordination is happening now. It is HAPPI's place in the system: holding the span, never owning it.

Nineteen dots in forest green, one in gold; the wordmark sets the arc beside the name in Playfair Display. Please don't alter the mark's proportions, re-space the flock, or recolour the gold dot.
